What About Specific Bequests and General Residuary Clauses?

If your father, like Milt’s, had a specific bequest—say, “I leave my 100 shares of Apple stock to my son, Milt”—and those shares are gone, Milt receives nothing in their place. What About Digital Assets and Cryptocurrency?

Digital assets like cryptocurrency present unique challenges. Without specific RUFADAA language (Probate Code § 870) in your Trust or Will, service providers like Coinbase and Google can legally deny your executor access to your digital assets. If those accounts, listed in the Will, are empty or inaccessible, the same principle applies – the bequest fails.

What About Business Interests (LLCs)?

As of March 2025, domestic U.S. LLCs are exempt from mandatory BOI reporting under the Corporate Transparency Act; however, executors managing foreign-registered entities must still file updates within 30 days to avoid fines of $500/day. If your Will leaves shares in an LLC that no longer exists or has been dissolved, that bequest fails. The value, if any, received upon dissolution would have been distributed according to the operating agreement or state law.
